Aportal Platform – Terms of Use

Aportal Connect Pty Ltd ABN 28 699 840 330 (Aportal, we, us or our) owns and operates the Aportal platform and website located at aportal.com.au.

The following terms of use (Terms of Use) govern your access to and use of the Platform and the services available through it, including Creator subscription services, brief posting, direct connection, and related features (collectively, Services). These Terms of Use apply to all users of the Platform, including Creators and Clients (as defined below).

By using the Platform and any related Services, you are agreeing to all of the Terms of Use, current at the time of your use. If you do not agree to these Terms of Use, you must not use the Platform.

1. Amendments to the Website Terms of Use

Aportal reserves the right to amend these Terms of Use from time to time at its discretion (Amendments). Amendments will be effective immediately upon posting to the Platform. Where practicable we will endeavour to notify you of Amendments to the Terms of Use. Your continued use of the Platform following any such Amendment will represent an agreement by you to be bound by the amended Terms of Use. We suggest you check the Terms of Use regularly to ensure you are aware of the most up to date terms.

1. Platform Access

Access to the Platform is permitted on a temporary and limited basis for the purpose of browsing the Platform and engaging with its Services. We reserve the right to withdraw or amend the Platform and any Services without notice. We will not be liable if for any reason the Platform is unavailable at any time or for any period. From time to time, we may restrict access to some parts or all of the Platform. Creators acknowledge that access to the Platform is contingent on maintaining an active subscription and complying with these Terms of Use.

1. Linked Sites

The Platform may contain links to other websites (Linked Sites), which are not operated by Aportal. Aportal has no control over the Linked Sites and accepts no responsibility for them or for any loss or damage that may arise from your use of the Linked Sites. Your use of the Linked Sites will be subject to the terms and conditions contained within each such Linked Site, if any.

1. Privacy policy

Our privacy policy, which sets out how we will use your information, can be found at https://www.aportal.com.au/privacy-policy . By using the Platform, you consent to the processing described in the privacy policy and warrant that all data provided by you is accurate. Aportal processes Personal Information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles.

1. Prohibitions

   1. Access to the Platform is provided to you on the basis that you must not misuse the Platform. Accordingly, you will not do any of the following:

      1. commit or encourage a criminal offence;

      2. transmit or distribute a virus, trojan, worm, logic bomb or any other material which is malicious, technologically harmful, in breach of confidence or in any way offensive or obscene;

      3. hack into any aspect of the Platform; corrupt data; cause annoyance to other users;

      4. maliciously interrupt or interfere with any transaction, subscription, brief, or connection facilitated through the Platform;

      5. infringe upon the intellectual property or proprietary rights of any other person, including uploading portfolio content or creative work that you do not own or have the right to use;

      6. send any unsolicited advertising or promotional material (spam) through the Platform’s messaging system;

      7. circumvent or attempt to circumvent the Platform’s payment systems, including by engaging Creators outside the Platform to avoid applicable fees;

      8. create false, misleading, or duplicate Creator profiles or Client accounts; or

      9. attempt to affect the performance or functionality of any computer facilities of or accessed through the Platform.

   2. You acknowledge that breaching this prohibitions clause may constitute a criminal offence and, if breached, Aportal will report any such breach to the relevant law enforcement authorities and disclose your identity to them.

   3. Aportal will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Platform or to your downloading of any material posted on it, or on any Linked Sites.

2. Intellectual property, software and content

The intellectual property rights in all software, the Services, and Platform content (including but not limited to the Platform design, curation methodology, and discovery feed) made available to you on or through the Platform remain the property of Aportal or its licensors and are protected by copyright laws and treaties around the world. Aportal and its licensors (where appropriate) reserve all such rights. You may store, print and display content supplied to you solely for your own personal use. You are not permitted to publish, manipulate, distribute or otherwise reproduce, in any format, any of the content or copies of the content supplied to you or which appears on the Platform, nor may you use any such content in connection with any business or commercial enterprise without Aportal’s prior written consent. Creators retain ownership of all original creative works uploaded to their profiles, but grant Aportal a non-exclusive, royalty-free licence to display such works on the Platform for the purposes of operating the Services.

1. Disclaimer of liability

   1. Subject to any non-excludable consumer guarantees and other consumer protection provisions set out in the Australian Consumer Law (ACL), the material displayed on the Platform is provided without any guarantees, conditions or warranties as to its accuracy. In particular, Aportal makes no representation or warranty as to the quality, suitability, or availability of any Creator, and does not guarantee that any Creator will be engaged or that any brief will receive applications.

   2. To the fullest extent permitted by law, Aportal hereby expressly excludes all warranties and other terms which might otherwise be implied by statute, common law or the law of equity and must not be liable for any damages whatsoever, including but without limitation to any direct, indirect, special, consequential, punitive or incidental damages, or damages for loss of use, profits, data or other intangibles, damage to goodwill or reputation, or the cost of procurement of substitute Services, arising out of or related to the use, inability to use, performance or failures of the Platform or the Linked Sites and any materials posted on those sites, irrespective of whether such damages were foreseeable or arise in contract, tort, equity, restitution, by statute, at common law or otherwise. Without limiting the foregoing, Aportal is not liable for the conduct of any Creator or Client, any work performed or not performed by a Creator, or any dispute arising between a Creator and a Client.

   3. This disclaimer does not affect Aportal’s liability for death or personal injury arising from its negligence, fraudulent misrepresentation, misrepresentation as to a fundamental matter or any other liability which cannot be excluded or limited under the ACL or other law.

2. Linking to this Website

You may link to the Platform’s home page, provided you do so in a way that is fair and legal and does not damage Aportal’s reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link from any website that is not owned by you. The Platform must not be framed on any other site, nor may you create a link to any part of the Platform other than the home page. We reserve the right to withdraw linking permission without notice.

1. Disclaimer as to ownership of trademarks, images of personalities and third party copyright

Except where expressly stated to the contrary, all persons (including their names and images), third party trademarks and content, services and/or locations featured on the Platform are in no way associated, linked or affiliated with Aportal and you should not rely on the existence of such a connection or affiliation. Any trademarks or names featured on the Platform are owned by the respective trademark owners. Where a trademark or brand name is referred to it is used solely to describe or identify the products and services and is in no way an assertion that such products or services are endorsed by or connected to Aportal.

1. Indemnity

You agree to indemnify, defend and hold harmless Aportal, its directors, officers, employees, consultants, agents, and affiliates, from any and all third party claims, liability, damages or costs (including, but not limited to, legal fees) arising from your use of the Platform, your breach of the Terms of Use, any content you upload to the Platform, or any dispute arising between you and another user of the Platform.

1. Variation

Aportal has the right in its absolute discretion at any time and without notice to amend, remove or vary the Services or any page of the Platform.

1. Invalidity

If any part of the Terms of Use is unenforceable (including any provision in which we exclude our liability to you) the enforceability of any other part of the Terms of Use will not be affected and all other clauses remain in full force and effect. So far as possible where any clause/subclause or part of a clause/subclause can be severed to render the remaining part valid, the clause must be interpreted accordingly. Alternatively, you agree that the clause must be rectified and interpreted in such a way that closely resembles the original meaning of the clause/subclause as is permitted by law.
